IP Protection When Sourcing from Taiwan: What Buyers Can Actually Expect
Taiwan has a functioning intellectual-property system — registered patents, designs, trademarks and trade-secret protection, with a specialist court handling IP disputes — and export-experienced factories sign NDAs as a matter of routine. What that does not mean is that a contract will save you: cross-border litigation is slow and expensive relative to most aftermarket order sizes, so realistic protection comes from commercial structure rather than a document you would never enforce. Own your tooling in writing, disclose designs in stages, register your brand before you need it, and assume anything you send can be made by someone else. What legal protection actually exists in Taiwan?
At a common-knowledge level: Taiwan grants invention patents, utility models and design patents through its patent office, protects registered trademarks, and has trade-secret legislation. IP disputes are heard by a specialized IP and commercial court — an institutional advantage over jurisdictions where IP cases sit in general civil dockets.
Two practical points matter more than the framework itself. First, registration is territorial: a design or trademark registered in the United States gives you nothing in Taiwan, and rights generally go to whoever registers first rather than whoever used the mark first. If you plan a private-label program of any size, register the mark in the markets where you sell. Second, enforcement costs money and years; for a buyer placing five-figure orders, the deterrent value of being clearly documented usually outweighs the realistic value of suing anyone.
Do NDAs and NNN agreements work with Taiwanese factories?
Signing an NDA with an export-facing Taiwanese supplier is normal and rarely contentious. Whether it protects you depends on details buyers skip: does it cover non-use and non-circumvention, not just non-disclosure? Does it name a governing law and forum you would actually litigate in? Is it signed by the entity that will manufacture, or by a sales affiliate? Does it survive the end of the relationship?
Be honest about what you are buying. A well-drafted agreement makes expectations explicit, establishes documentary evidence of what you disclosed and when, and signals that you are a professional counterparty. It does not physically prevent a mold from running an extra shift.
Why tooling ownership is the lever that actually moves
If you fund a mold or a die, the most valuable protection available to you is unambiguous written ownership of that tool — concrete and verifiable in a way abstract design rights are not.
- State ownership explicitly in the purchase order or tooling agreement, including what happens on termination
- Require the tool to be physically marked with an identifier and your company name, and ask for photographs of the marking
- Agree in advance on storage, maintenance responsibility, and the conditions and cost of moving the tool to another factory
- Clarify whether the tool may be used for any other customer's parts — silence here is usually interpreted in the factory's favor
- Recognize the trade-off honestly: full tooling ownership normally means paying the full tooling cost up front, rather than having it amortized into unit price
Practical drawing control before the deal closes
Most disclosure risk happens during quoting, before any agreement exists — when buyers email complete CAD packages to a dozen candidate factories to get comparable prices. Stage it instead. A quote can usually be produced from a description, key dimensions, material and finish requirements, and a photograph; full three-dimensional data belongs after the shortlist narrows and an agreement is signed. Describe the part precisely without handing over everything that makes it reproducible.
The uncomfortable part of aftermarket IP
There is a contradiction here worth stating plainly. The aftermarket business is largely built on producing replacements for parts originally designed by vehicle manufacturers, and those manufacturers have pursued design-right claims against aftermarket producers in various markets over the years. The capability you are hiring — reverse-engineering a part to match an original — is the same capability you are asking a supplier to restrain when it comes to your own additions. Your IP conversation should therefore focus on what is genuinely yours: your brand, your packaging, your catalog data, your customer list, and any functional improvement you originated.
It also means checking the other direction. If you are commissioning reproduction of a part still covered by a design right in your selling market, the risk sits with you as the importer, not only with the factory — and it is cheaper to ask a lawyer before tooling than after.
Where losses actually occur
In practice, buyers rarely lose a lawsuit over stolen blueprints. They lose margin in quieter ways: the same part appearing under a competitor's brand at a lower price, a distributor in another region buying directly from the factory you introduced, packaging and photography reused in a supplier's own catalog, or a private-label part quietly becoming the factory's generic offering because the exclusivity conversation never happened. All four are addressable commercially — exclusivity scope by territory and channel, agreed use of artwork, non-circumvention clauses, and periodic checks on marketplaces where your part might reappear.

A realistic protection checklist
If you do nothing else, do these — in order, before the first purchase order.
- Register your trademark in the markets where you sell, and in Taiwan if the brand will be visible there
- Disclose in stages: description and key specs for quoting, full data only after shortlisting and signature
- Get a signed agreement covering non-disclosure, non-use and non-circumvention with the manufacturing entity
- Put tooling ownership, marking, storage and transfer rights in writing — and pay for the tool if you want it
- Define exclusivity precisely — by part number, territory and channel — or accept that there is none
- Take local legal advice for anything design-right sensitive in your selling market
